Terms of Use#
1. Acceptance of Terms#
By installing and using the SynMax Excel Add-in, you agree to be bound by the terms and conditions set forth in this agreement. If you do not agree to these terms, you may not use the SynMax Excel Add-in.
2. Use of the SynMax Excel Add-in#
The SynMax Excel Add-in is designed to provide users with easy access to SynMax’s data analytics services within Microsoft Excel. You may use the SynMax Excel Add-in only for lawful purposes and in accordance with these terms.
3. Ownership#
The SynMax Excel Add-in and all intellectual property rights therein are the property of SynMax. You acknowledge that you have no ownership or other proprietary interest in the SynMax Excel Add-in, and that all rights, title, and interest in and to the SynMax Excel Add-in are and shall remain with SynMax.
4. Restrictions on Use#
You may not use the SynMax Excel Add-in for any purpose other than accessing SynMax’s data analytics services within Microsoft Excel. You may not modify, adapt, or create derivative works based on the SynMax Excel Add-in. You may not reverse engineer, decompile, or disassemble the SynMax Excel Add-in, or attempt to do so.
5. Disclaimer of Warranties#
The SynMax Excel Add-in is provided “as is” and without warranty of any kind, whether express or implied. SynMax makes no warranties, express or implied, including without limitation, any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
6. Limitation of Liability#
SynMax shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of the SynMax Excel Add-in. This limitation of liability applies even if SynMax has been advised of the possibility of such damages.
7. Indemnification#
You agree to indemnify and hold SynMax, its officers, directors, employees, agents, and affiliates harmless from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the SynMax Excel Add-in.
8. Modification of Terms#
SynMax reserves the right to modify these terms of use at any time. Your continued use of the SynMax Excel Add-in after any such modifications shall constitute your acceptance of the modified terms.
9. Termination#
SynMax may terminate this agreement and your use of the SynMax Excel Add-in at any time, with or without cause.
10. Entire Agreement#
This agreement constitutes the entire agreement between you and SynMax with respect to the SynMax Excel Add-in, and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and SynMax with respect to the SynMax Excel Add-in.
